1. Acceptance of Terms
By accessing or using any services provided by SUNBOUR ("Company", "we", "us", or "our"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and SUNBOUR. By engaging our services, submitting enquiries through our website, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Services
SUNBOUR provides comprehensive digital solutions and technology services, including but not limited to:
- Cybersecurity: Security audits, penetration testing, threat detection, compliance consulting, and security infrastructure implementation.
- Artificial Intelligence & Machine Learning: AI strategy consulting, model development, natural language processing, computer vision, and predictive analytics solutions.
- Blockchain Development: Smart contract development, decentralised application (dApp) creation, tokenisation, and distributed ledger solutions.
- Cloud & DevOps: Cloud architecture design, migration services, infrastructure automation, CI/CD pipeline setup, and managed cloud services.
- Web & Mobile Development: Full-stack web applications, responsive websites, native and cross-platform mobile applications, progressive web apps, and e-commerce solutions.
- Technology Consulting: Digital transformation strategy, technology stack assessments, IT roadmap planning, and technical advisory services.
The specific scope, deliverables, and timelines for each engagement shall be defined in a separate Statement of Work (SOW) or service agreement agreed upon by both parties.
3. Intellectual Property Rights
Unless otherwise agreed upon in writing, the following intellectual property provisions apply:
Company IP: All pre-existing intellectual property, proprietary tools, frameworks, methodologies, and general knowledge belonging to SUNBOUR shall remain the sole property of SUNBOUR. We reserve the right to use such assets across multiple client engagements.
Client IP: Upon full payment of all applicable fees, intellectual property rights in the bespoke deliverables created specifically for the client under a Statement of Work shall be assigned to the client, unless otherwise specified in the agreement.
Third-Party IP: Any third-party software, libraries, or components used in the delivery of our services shall remain subject to their respective licence terms. We will inform you of any such third-party components included in your deliverables.
Portfolio Rights: SUNBOUR reserves the right to reference the general nature of work performed (without disclosing confidential information) in our portfolio, case studies, and marketing materials, unless a non-disclosure agreement explicitly prohibits this.
4. User Responsibilities
As a client of SUNBOUR, you agree to the following responsibilities:
- Provide accurate, complete, and timely information, materials, and access necessary for the successful delivery of services.
- Designate an authorised representative to serve as the primary point of contact for communications and approvals.
- Review and provide feedback on deliverables within the timeframes specified in the applicable Statement of Work.
- Ensure that any materials, content, or data you provide do not infringe upon the intellectual property rights or other rights of any third party.
- Maintain the confidentiality of any login credentials, API keys, or access permissions provided to you by SUNBOUR.
- Comply with all applicable laws and regulations in connection with your use of our services and deliverables.
- Refrain from using our services for any unlawful, fraudulent, or harmful purposes.
5. Payment Terms
Payment terms for our services are as follows:
- Fees: All fees for services shall be as set out in the applicable Statement of Work or service agreement. Unless otherwise stated, all fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT and any other applicable taxes.
- Invoicing: Invoices will be issued in accordance with the payment schedule specified in the Statement of Work. Unless otherwise agreed, invoices are payable within thirty (30) days of the invoice date.
- Late Payments: SUNBOUR reserves the right to charge interest on overdue invoices at a rate of 4% above the Bank of England base rate, calculated on a daily basis from the due date until the date of actual payment.
- Expenses: Any pre-approved out-of-pocket expenses incurred by SUNBOUR in the performance of services shall be reimbursed by the client upon presentation of reasonable documentation.
- Suspension: SUNBOUR reserves the right to suspend work on any project where payments are overdue by more than fourteen (14) days, without liability for any resulting delays.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
SUNBOUR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with these Terms or the provision of our services, regardless of the cause of action or the theory of liability.
Our total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by you to SUNBOUR under the applicable Statement of Work during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
7. Indemnification
You agree to indemnify, defend, and hold harmless SUNBOUR and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of any provision of these Terms.
- Your use or misuse of the deliverables or services provided by SUNBOUR.
- Any materials, content, or data provided by you that infringe upon the intellectual property rights or other rights of any third party.
- Your violation of any applicable law, regulation, or third-party rights.
8. Governing Law
These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
9. Termination
Either party may terminate an engagement under the following conditions:
- Termination for Convenience: Either party may terminate an engagement by providing thirty (30) days' written notice to the other party. The client shall pay for all work completed and expenses incurred up to the effective date of termination.
- Termination for Cause: Either party may terminate an engagement immediately upon written notice if the other party commits a material breach of these Terms and fails to remedy such breach within fourteen (14) days of receiving written notice of the breach.
- Effect of Termination: Upon termination, SUNBOUR shall deliver all completed and in-progress work to the client, subject to full payment of all outstanding fees. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
10. Changes to Terms
SUNBOUR reserves the right to modify or update these Terms at any time. Changes will be effective upon posting the revised Terms on our website with an updated "Last Updated" date.
For active engagements, material changes to these Terms will be communicated to affected clients via email. Continued use of our services following any such changes constitutes your acceptance of the revised Terms.
